1. Scope

These Terms govern the use of services provided by Panezy, Inc. (including the web application, API, MCP access, CLI integrations, and related documentation). Users must agree to these Terms before using the service.

2. Definitions

“Workspace” means a user-managed work area in Panezy. “Content” means text, files, comments, and other information users store or edit in the service. “MCP/API/CLI usage” means operations executed from external tools or systems through Panezy interfaces.

3. Registration and account management

Users must provide accurate and current information and are responsible for safeguarding account credentials. If unauthorized account use is detected, users must notify Panezy promptly.

4. Fees and payment

Paid contracts are made per workspace. Billable seats are admin and editor members; viewer members are non-billable. Pricing, billing cycles, and plan specifications are described on the pricing and commercial disclosure pages. Payment methods follow terms set by Panezy and payment providers such as Stripe.

5. Content ownership and rights

Intellectual property rights in user content remain with users or rightful owners. Users grant Panezy a non-exclusive license to reproduce, store, display, and process content as required to provide, maintain, and improve the service.

6. MCP/API/CLI conditions

Users must properly manage issued tokens, authentication credentials, and scope limits, and use MCP/API/CLI only within allowed permissions. Users are responsible for outcomes of automated writes, agent actions, and batch operations they initiate.

Panezy may set or change rate limits, access restrictions, additional authentication, operation controls, and write approval flows to protect systems and prevent abuse.

7. Prohibited actions

Users must not engage in unlawful conduct, infringement of third-party rights, unauthorized access, excessive load generation, credential theft/sharing, reverse engineering, malware distribution, fraudulent registration, or other actions that disrupt service operations.

8. Service changes and suspension

Panezy may change, suspend, or discontinue all or part of the service for maintenance, incident response, security updates, or legal requirements, with prior or subsequent notice as appropriate.

9. Disclaimer of warranties

The service is provided on an “as is” basis. Panezy does not guarantee completeness, accuracy, fitness for a specific purpose, uninterrupted operation, absence of defects, or perfect data preservation.

10. Limitation of liability

Except in cases of willful misconduct or gross negligence, Panezy is not liable for lost profits, indirect damages, or special damages.

Where Panezy is liable due to ordinary negligence, damages are limited to direct and ordinary losses actually incurred, capped at total fees actually paid by the affected user during the 12 months before the incident month (or JPY 10,000 for free-plan users), unless mandatory law provides otherwise.

11. Suspension and termination

If users violate these Terms, Panezy may suspend accounts, revoke permissions, or terminate contracts without prior notice. Unless legally required, already paid fees are non-refundable.

12. Amendments

Panezy may revise these Terms when necessary. Material changes will be announced in-app or through other methods deemed appropriate.

13. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court or Tokyo Summary Court has exclusive jurisdiction in the first instance for disputes related to these Terms or the service.
